The commercial law firm Orth Kluth advised the long-standing shareholders of CoCoNet AG on the sale of all shares to the investment company EMERAM.
CoCoNet AG, based in Düsseldorf and with various subsidiaries, e.g. in Poland, is an established provider of software for digital corporate banking with a focus on payment transactions and cash management. The company’s customers include well-known major German and European banks. The sellers are or have been working for the group for decades in various organizational functions. The sale is intended to round off the generational change that has already been initiated.
The buyer EMERAM is one of the leading investment companies for medium-sized companies in the German-speaking region. As a business development partner, it promotes the long-term growth of its portfolio companies with capital and expertise. The funds advised by EMERAM invest in the technology/software, value-added services and new consumer staples sectors. The funds currently have a volume of over 650 million euros.
The Düsseldorf-based Orth Kluth team led by corporate/MA partner Dr. Robert Orth provided legal advice to the sellers during the entire sales process, which was conducted as part of a bidding procedure.
