Vallourec Deutschland GmbH operated a tube plant for the production of seamless steel tubes in Düsseldorf-Reisholz until August 2020. This tube plant was previously operated by Mannesmannröhren-Werke AG. After Vallourec had initially entered into a joint venture with Mannesmannröhren-Werke AG at the end of the 1990s, this joint venture became a wholly-owned subsidiary of Vallourec in 2005.
Upon shutting down the tube plant, the 14-hectare site was to be sold. For this purpose, Vallourec Deutschland GmbH initiated a bidding process. The decision was made in favour of Frasers Property Industrial, a multinational real estate company that acquired the site for a high double-digit million sum and is planning a 75,000 square metre commercial and logistics park there.
Orth Kluth provided comprehensive advice to Vallourec Deutschland GmbH throughout the entire sales process, starting with the negotiations with real estate consulting firms that were to assist Vallourec Deutschland GmbH in marketing the property. Here, the decision was made in favour of BNP Paribas Real Estate GmbH.
Orth Kluth then provided advice on the conclusion of the letters of intent/exclusivity agreements concluded with the two remaining bidders and on the negotiations of the purchase agreements.
Orth Kluth also advised Vallourec Deutschland GmbH on monumental protection issues, especially after the Landschaftsverband Rheinland (Rhineland Regional Council) assessed parts of the site and machinery as worthy of monument protection.
